NOVAEDEN Entertainment
Last updated: September 14, 2026
1. About These Terms
1.1 These Terms of Service (the "Terms") form a legally binding agreement between you ("you" or "your") and LASTREMIX LLC, a Mississippi limited liability company operating under the name NOVAEDEN Entertainment ("NOVAEDEN," "we," "us," or "our"). They govern your access to and use of our games (each, a "Game"), our websites (including novaeden.com and lastremix.com), and all related applications, content and services that we provide (together, the "Services").
1.2 By accessing or using our Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use our Services.
1.3 You must be at least 13 years old to use our Services. If you are at least 13 but under 18 years old (or under the age of legal majority where you live), you may use our Services only if your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Our Services are not directed to children under 13, and we do not knowingly collect personal information from them.
1.4 You can access these Terms at any time on our website. We may change these Terms from time to time as described in Section 16 (Changes to These Terms).
2. Accessing and Using Our Services
2.1 The specific rules, scoring rules, controls and guidelines for each Game can be found within the Game itself. They form part of these Terms, and you agree to comply with them for each Game that you access or play.
2.2 You are responsible for any internet connection, data or mobile charges that you incur when using our Services. If you are unsure what those charges will be, ask your internet service provider or mobile operator before you play.
2.3 We may, from time to time and without liability to you, withdraw or modify any Game or any other part of our Services, in whole or in part:
- 2.3.1 for technical reasons (such as technical difficulties experienced by us or on the internet);
- 2.3.2 to improve the user experience;
- 2.3.3 where we have legal reasons for doing so (including privacy or other legal objections to the content or conduct of our Services);
- 2.3.4 because it no longer makes business sense for us to provide the relevant Game or part of our Services; or
- 2.3.5 because we have changed the services we provide.
2.4 Our Services, or any part of them, may occasionally be unavailable for technical or maintenance reasons, whether scheduled or unscheduled.
3. Accounts
3.1 You must take all steps necessary to protect your login details and keep them confidential. You must not give your login details to anyone else or allow anyone else to use your login details or account. In these Terms, references to "login details" or "account" include your login details and account for any social network or platform that you allow our Services to interact with.
3.2 If you fail to keep your login details confidential, or if you share your login details or account with someone else (whether intentionally or unintentionally), you accept full responsibility for the consequences, including any unauthorized purchases, and you agree to compensate us for any losses or harm that may result.
3.3 To the extent permitted by law, we are not responsible for any loss you suffer as a result of an unauthorized person accessing your account and using our Services, whether fraudulently or otherwise.
3.4 We may delete your account if you have not used it for 180 days or more. If we do, you will no longer be able to access or use any Virtual Items (as defined in Section 4) associated with that account, and no refund will be given, except where required by applicable law.
3.5 If you delete your account, or if we delete it in accordance with these Terms, you may lose access to any data previously associated with it, including your progress and scores in our Games and any Virtual Items.
4. Virtual Currency and Virtual Goods
4.1 Our Games may include virtual currencies, such as coins or points ("Virtual Currency"), and virtual items or services for use within our Games ("Virtual Goods"; together with Virtual Currency, "Virtual Items"). You may purchase Virtual Items with real money or other credits only if you are at least 18 years old.
4.2 Virtual Items have no monetary value and can never be exchanged for real money, real goods or real services, whether from us or from anyone else. You agree to obtain Virtual Items only from us or through channels that we authorize, and not from any third party.
4.3 You do not own Virtual Items. When you obtain them, we grant you a limited, personal, non-transferable, non-sublicensable and revocable license to use them within our Services. Any balance of Virtual Items does not reflect any stored value.
4.4 All purchases of Virtual Items are final and non-refundable, except where applicable law requires otherwise.
4.5 To the extent permitted by law, we may manage, regulate, change or remove Virtual Items at any time without liability to you.
5. User Conduct and Content
5.1 You must comply with all laws that apply to you in the place from which you access our Services. If those laws restrict or prohibit your use of our Services, you must comply with those restrictions or stop using our Services.
5.2 You promise that all information you provide to us when accessing or using our Services is, and will remain, true, accurate and complete.
5.3 Information, data, software, sound, photographs, graphics, video, tags, messages or other materials may be sent, uploaded, communicated, transmitted or otherwise made available through our Services by you or by other users ("Content"). Content is the sole responsibility of the person who made it available, whether it is posted publicly or sent privately. This means that you, not us, are entirely responsible for all Content that you make available through our Services.
5.4 You agree not to upload, communicate, transmit or otherwise make available any Content:
- 5.4.1 that is, or could reasonably be viewed as, unlawful, harmful, threatening, harassing, defamatory, libelous, obscene or otherwise objectionable;
- 5.4.2 that is, or could reasonably be viewed as, invasive of another person's privacy;
- 5.4.3 that is likely to, or could reasonably be viewed as likely to, incite violence or hatred against any person or group on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, disability or any other protected characteristic;
- 5.4.4 that you do not have the right to make available lawfully (such as inside information, confidential information, or information that belongs to someone else);
- 5.4.5 that infringes any copyright, trademark, patent, trade secret or other intellectual property or proprietary right of any person;
- 5.4.6 that consists of unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; or
- 5.4.7 that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any software, hardware or telecommunications equipment.
5.5 You agree that you will not:
- 5.5.1 use our Services to harm, offend or harass any person;
- 5.5.2 create more than one account per platform to access our Services;
- 5.5.3 use another person's or entity's email address to sign up for our Services;
- 5.5.4 use our Services for fraudulent or abusive purposes, including by impersonating any person or entity or otherwise misrepresenting your affiliation with a person, an entity or our Services;
- 5.5.5 use our Services for any commercial or business purpose, for the benefit of any third party, or to send unsolicited communications;
- 5.5.6 remove or alter any copyright, trademark or other proprietary notice or ownership information in our Games or in any other part of our Services;
- 5.5.7 interfere with or disrupt our Services, or the servers or networks that provide them;
- 5.5.8 attempt to decompile, reverse engineer, disassemble or hack any part of our Services, or to defeat or circumvent any of our encryption technologies or security measures, or any data transmitted, processed or stored by us;
- 5.5.9 sell or transfer, or attempt to sell or transfer, an account or any part of an account, including any Virtual Items;
- 5.5.10 disobey any requirements or regulations of any network connected to our Services;
- 5.5.11 use our Services in violation of any applicable law or regulation;
- 5.5.12 cheat, or design or assist in cheating (for example, by using automated means, bots or unauthorized third-party software to play), circumvent any technological measure designed to control access to any part of our Services, or do anything else that a reasonable person would consider contrary to the spirit of fair play or of these Terms; or
- 5.5.13 use our Services in any other way not permitted by these Terms.
5.6 We do not control Content made available through our Services by other users, and we do not guarantee its accuracy, integrity or quality. You may be exposed to Content that you find offensive, indecent or objectionable. To the maximum extent permitted by law, we are not liable for any Content, including any errors or omissions in it, or for any loss or harm of any kind resulting from the use of any Content made available through our Services. We may, but are not obliged to, review, remove or disable access to any Content at any time.
5.7 You are solely responsible for your interactions with other users of our Services.
6. Playing With Other Users
6.1 Some of our Games allow you to play against, or socially with, other users. Some Games may also allow you to search for your friends (for example, by email address) so that you can play with them.
7. Intellectual Property
7.1 All copyright, trademarks and other intellectual property rights in and relating to our Services (other than Content contributed and owned by users) are owned by or licensed to us.
7.2 As long as you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, personal and revocable license to access and use our Services (but not their object code or source code) for your own personal, non-commercial use in accordance with these Terms. You agree not to use our Services for any other purpose.
7.3 You must not copy, distribute, make available to the public, or create any derivative work from our Services or any part of them unless we have first agreed to this in writing.
7.4 In particular, and without limiting Section 5.5.12, you must not make available any cheats or tools designed to circumvent technological measures that control access to any part of our Services, including tools that provide access to Virtual Items, whether free of charge or otherwise.
7.5 By submitting Content through our Services, you:
- 7.5.1 represent and warrant that you own the Content or otherwise have all rights necessary to submit it and to grant the license in Section 7.5.2;
- 7.5.2 grant us and our affiliates a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable and sublicensable license to use, host, store, reproduce, edit, adapt, publish, publicly display and perform, distribute, and create derivative works from that Content, in any and all media now known or later developed, for any purpose, without any payment to you;
- 7.5.3 to the extent permitted by applicable law, waive any moral rights you may have in the Content, such as the right to be identified as its creator and the right to object to derogatory treatment of it; and
- 7.5.4 agree that we have no obligation to monitor or protect your rights in any Content, but that we may, at our discretion and at our own cost, enforce your rights in that Content, including by taking legal action on your behalf.
7.6 You must not copy, distribute, make available to the public, or create any derivative work from any Content belonging to another user of our Services, unless you have that user's permission or are otherwise legally entitled to do so.
7.7 If you believe that any material available through our Services infringes your copyright, please follow the procedure in Section 8. For other intellectual property complaints (for example, trademark complaints), contact us using the details in Section 18.
8. Copyright Infringement — Digital Millennium Copyright Act (DMCA)
8.1 Our policy. We respect the intellectual property rights of others and expect our users to do the same. We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act, 17 U.S.C. § 512 (the "DMCA"). In appropriate circumstances, we will remove or disable access to material that is claimed to be infringing, and we will terminate the accounts of repeat infringers as described in Section 8.7.
8.2 Notification of claimed infringement. If you believe that material available through our Services infringes a copyright that you own or are authorized to enforce, please send a written notification to our Designated Copyright Agent (Section 8.3). To be effective under the DMCA (17 U.S.C. § 512(c)(3)), your notification must include all of the following:
- (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- (b) identification of the copyrighted work claimed to have been infringed or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
- (c) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material (for example, the URL, the name of the Game, or the username of the account that made it available);
- (d) information reasonably sufficient to permit us to contact you, such as your name, address, telephone number and, if available, an email address;
- (e) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- (f) a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
A notification that does not substantially comply with these requirements may not be effective, and we may be unable to act on it.
8.3 Designated Copyright Agent. Our designated agent to receive notifications of claimed infringement is:
Designated Copyright Agent
LASTREMIX LLC (NOVAEDEN Entertainment)
Attn: Legal Department (DMCA Designated Agent)
Email: legals@novaeden.com
Please send only notifications of claimed copyright infringement, and counter-notifications, to our Designated Copyright Agent. All other inquiries should be sent using the contact details in Section 18.
8.4 Notice to the user. When we remove or disable access to material in response to a notification, we will take reasonable steps to promptly notify the user who made the material available.
8.5 Counter-notification. If material that you made available was removed or disabled as a result of a notification of claimed infringement, and you believe in good faith that it was removed or disabled as a result of mistake or misidentification, you may send a counter-notification to our Designated Copyright Agent. To be effective under 17 U.S.C. § 512(g)(3), your counter-notification must include:
- (a) your physical or electronic signature;
- (b) identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or disabled;
- (c) a statement, under penalty of perjury, that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and
- (d) your name, address and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located or, if your address is outside the United States, for any judicial district in which NOVAEDEN may be found, and that you will accept service of process from the person who provided the original notification or an agent of that person.
When we receive a valid counter-notification, we will promptly send a copy of it to the person who submitted the original notification and inform that person that we will replace the removed material, or cease disabling access to it, in 10 business days. We will then restore the material not less than 10 and not more than 14 business days after receiving the counter-notification, unless our Designated Copyright Agent first receives notice from the person who submitted the original notification that they have filed an action seeking a court order to restrain you from engaging in infringing activity relating to the material.
8.6 Misrepresentations. Under 17 U.S.C. § 512(f), any person who knowingly and materially misrepresents that material or activity is infringing, or that material or activity was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys' fees. If you are not sure whether material infringes your copyright, we recommend that you consult an attorney before sending a notification.
8.7 Repeat infringers. It is our policy, in appropriate circumstances and at our discretion, to disable or terminate the accounts of users who repeatedly infringe the copyrights or other intellectual property rights of others.
9. Privacy
9.1 We collect, use and share personal information only as described in our Privacy Policy and in these Terms. By using our Services, you consent to the collection, use and sharing of your personal information as described there. If you do not agree with our Privacy Policy, you should not access or use our Services.
9.2 Any personal information that we collect may also be subject to the policies of any social network to which you choose to link our Services. If you allow our Games to interact with a social network, you give us permission to use the information that the social network shares with us, including information that allows us to identify you, and to help your contacts on that network find you so that you can play socially. If you do not agree to these practices, you should not allow our Games to interact with your social network.
9.3 We may use cookies and similar technologies (such as HTML5 local storage) to store certain information each time you use our Services, for example to recognize your device and to help ensure that your account is accessed only by the person who enters the correct login details. You can find out more about how we use cookies and similar technologies in our Privacy Policy.
10. Third-Party Links, Platforms and Services
10.1 Our Services may link to third-party websites or services. We make no promises regarding any content, goods or services provided by third parties, and we do not endorse them. We are not responsible to you for any loss or harm caused by third parties, and any charges you incur with them are your responsibility. When you provide data to a third party, it is governed by that third party's privacy policy (if any), and our Privacy Policy does not apply to that data.
10.2 If you access or play our Games through a third-party platform or store (for example, Google Play, the App Store, Steam or Facebook), that platform's terms and conditions also apply to your use of those Games, in addition to these Terms.
11. Disclaimer of Warranties
11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
11.2 We do not warrant that our Services will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that our Services or the servers that make them available are free of viruses or other harmful components. If you are dissatisfied with our Services, your sole remedy is to stop using them.
11.3 Without limiting Sections 11.1 and 11.2, we are not responsible for:
- 11.3.1 losses or harm that are not caused by our breach of these Terms or by our negligence;
- 11.3.2 losses or harm that were not reasonably foreseeable by you and us when you agreed to these Terms, including losses that happen as a side effect of foreseeable losses, such as loss of data, loss of opportunity, service interruption, device failure or financial loss;
- 11.3.3 any increase in loss or damage resulting from your breach of these Terms; or
- 11.3.4 technical failures or the unavailability of our websites, Games or social media channels where these are not within our reasonable control.
11.4 Nothing in these Terms excludes or limits any rights you may have as a consumer under the mandatory laws of your country of residence that cannot be excluded or limited by contract.
12. Limitation of Liability
12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NOVAEDEN, ITS AFFILIATES, OR ITS OR THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR ACCESS TO, USE OF, OR INABILITY TO USE OUR SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
12.3 Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits or excludes liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence, or any other liability that cannot be limited or excluded under applicable law.
13. Indemnification
13.1 To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless NOVAEDEN, its affiliates, and its and their respective members, managers, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of our Services; (b) any Content that you make available through our Services; (c) your breach of these Terms; or (d) your violation of any law or of the rights of any third party.
14. Suspension and Termination
14.1 You may stop using our Services at any time, and you may delete your account where that functionality is available or ask us to delete it.
14.2 We may suspend or terminate your access to our Services, or delete your account, at any time, with or without notice, if we reasonably believe that you have breached these Terms, if we are required to do so by law, or as described in Section 8.7.
14.3 Any provision of these Terms that by its nature should survive termination will survive, including Sections 3.2, 4, 5.3, 7, 8.6, 11, 12, 13, 15 and 17.
15. Governing Law and Jurisdiction
15.1 These Terms, and any dispute or claim arising out of or relating to them or to our Services, are governed by the laws of the State of Mississippi, United States of America, without regard to its conflict of laws principles, and, where applicable, by the federal laws of the United States, including the DMCA.
15.2 Subject to Sections 8.5 and 15.3, you and we agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Mississippi for the resolution of any dispute arising out of or relating to these Terms or our Services.
15.3 If you are a consumer, you retain the protection of any mandatory provisions of the law of your country of residence, and nothing in this Section 15 prevents you from bringing proceedings in the courts of your country of residence where applicable law gives you that right.
15.4 The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
16. Changes to These Terms
16.1 We may change these Terms from time to time. When we do, we will post the updated Terms on our website and update the "Last updated" date at the top. If a change is material, we will take reasonable steps to notify you in advance, for example through our Services or by email. Changes take effect when they are posted, unless we state otherwise.
16.2 Your continued use of our Services after changes take effect means that you accept the updated Terms. If you do not agree to the changes, you must stop using our Services.
17. Miscellaneous
17.1 Entire agreement. These Terms, together with our Privacy Policy and the rules of each Game, form the entire agreement between you and us concerning our Services, and they replace all earlier agreements and understandings between you and us on that subject.
17.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
17.3 No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
17.4 Assignment. You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, to an affiliate or to a successor in connection with a merger, acquisition, reorganization or sale of all or substantially all of our assets.
17.5 Force majeure. We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, riots, labor disputes, government actions, and failures of internet, power or telecommunications services.
17.6 Relationship of the parties. Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and us.
17.7 No third-party beneficiaries. These Terms do not confer any rights or remedies on any person other than you and us, except that our affiliates may rely on Sections 12 and 13.
17.8 Electronic communications and notices. You agree that we may provide notices and other communications to you electronically, including by email or through our Services, and that such communications satisfy any legal requirement that they be in writing. Notices to us must be sent using the contact details in Section 18.
17.9 Language. These Terms are written in English. If we provide a translation, the English version will prevail in the event of any conflict.
17.10 Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
